These Terms and Conditions ("Terms") govern the use of freight and logistics services provided by Apex Freight HUB ("Company," "we," "us," or "our"), a company registered in Germany, Poland, and Lithuania, operating worldwide freight and logistics services. By using our services, you ("Customer," "you," or "your") agree to be bound by these Terms in their entirety.

Apex Freight HUB specializes in air freight, sea freight, express courier services, and same-day delivery solutions across 180+ countries. Our services are designed to meet the diverse needs of businesses requiring reliable, efficient, and cost-effective logistics solutions.

Important Notice: Customers are strongly advised to obtain appropriate insurance coverage for their shipments, as Apex Freight HUB's liability is limited as outlined in these Terms. We recommend consulting with insurance professionals to determine adequate coverage for your specific shipping needs.

2. Service Agreement and Scope

Apex Freight HUB operates as a freight forwarder and logistics service provider, not as a common carrier. We accept goods for transportation and logistics services only under these Terms and Conditions. No employee, agent, or representative of Apex Freight HUB is authorized to modify, alter, or waive these Terms unless such modification is expressly authorized in writing by a duly authorized director or officer of the Company.

Our services include but are not limited to:

  • Air Freight Services (Express, Standard, Temperature-Controlled, Dangerous Goods)
  • Sea Freight Services (FCL, LCL, Reefer, Project Cargo)
  • Express Courier Services (Same Day, Next Day, Time-Definite)
  • Customs Clearance and Documentation
  • Warehousing and Distribution
  • Supply Chain Management
  • Real-time Tracking and Monitoring

3. Definitions and Interpretations

For the purposes of these Terms and Conditions, the following definitions shall apply:

Core Definitions:
  • Carrier: Apex Freight HUB, including its subsidiaries, affiliates, and authorized agents operating under these Terms.
  • Customer: Any person, company, or entity that contracts with Apex Freight HUB for the provision of freight and logistics services, including freight forwarders, agents, or other carriers who subcontract services to us.
  • Contract: The agreement between the Customer and Apex Freight HUB for the provision of freight and logistics services, incorporating these Terms and any specific service agreements.
Operational Definitions:
  • Consignee: The person, company, or entity designated to receive the shipment at the destination address.
  • Consignment: Any goods, merchandise, or cargo entrusted to Apex Freight HUB for transportation, whether as a single item, multiple items, or bulk cargo.
  • Shipment: The complete package of goods, documentation, and services provided from origin to destination.

4. Customer Responsibilities and Warranties

By using our services, the Customer warrants and represents the following:

4.1 Accurate Information and Documentation

The Customer must provide accurate, complete, and truthful information regarding:

  • Complete description of goods including weight, dimensions, and value
  • Proper classification and customs declarations
  • Accurate origin and destination addresses
  • Contact information for all parties involved
  • Any special handling requirements or restrictions
4.2 Packaging and Preparation

The Customer is responsible for ensuring that all shipments are:

  • Properly packaged and secured for international transportation
  • Compliant with international shipping standards and regulations
  • Clearly labeled with all required information
  • Prepared according to the specific requirements of the chosen service
4.3 Compliance with Laws and Regulations

The Customer must ensure compliance with all applicable laws and regulations, including:

  • International trade regulations and sanctions
  • Customs and import/export requirements
  • Dangerous goods regulations (IATA, IMDG, ADR)
  • Pharmaceutical and food safety regulations
  • Environmental protection and waste disposal laws

5. Dangerous Goods and Restricted Items

Apex Freight HUB maintains strict policies regarding dangerous goods and restricted items to ensure the safety of our operations, employees, and other customers' shipments.

5.1 Dangerous Goods Policy

Dangerous goods are generally not accepted for transportation unless:

  • Prior written approval has been obtained from Apex Freight HUB management
  • All required documentation and certifications are provided
  • Proper packaging and labeling according to international standards
  • Compliance with all applicable dangerous goods regulations
5.2 Prohibited Items

The following items are strictly prohibited from transportation:

  • Explosives and ammunition (except under special permit)
  • Illegal drugs and controlled substances
  • Counterfeit goods and pirated materials
  • Perishable goods without proper temperature control
  • Live animals (except under special arrangements)
  • Human remains or biological samples

6. Service Delivery and Performance

Apex Freight HUB is committed to providing reliable and efficient logistics services. However, certain factors beyond our control may affect service delivery.

6.1 Delivery Standards

We strive to meet the following delivery standards:

  • Express Air Freight: 1-3 business days
  • Standard Air Freight: 3-7 business days
  • Sea Freight FCL: 15-45 days depending on route
  • Sea Freight LCL: 20-50 days depending on route
  • Same Day Delivery: Within 8 hours of collection
6.2 Force Majeure

Apex Freight HUB shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters and extreme weather conditions
  • Government actions, strikes, and civil unrest
  • Transportation disruptions and infrastructure failures
  • Customs delays and regulatory changes
  • Pandemics and health emergencies

7. Liability and Insurance

Understanding our liability limitations is crucial for customers to make informed decisions about insurance coverage.

7.1 Liability Limitations

Apex Freight HUB's liability is limited as follows:

  • Air Freight: Limited to 19 SDR per kilogram (approximately €22/kg)
  • Sea Freight: Limited to 2 SDR per kilogram (approximately €2.30/kg)
  • Express Services: Limited to €50 per shipment unless declared value is higher
  • Same Day Delivery: Limited to €100 per shipment
7.2 Exclusions from Liability

Apex Freight HUB shall not be liable for:

  • Indirect, consequential, or punitive damages
  • Loss of profits, business interruption, or opportunity costs
  • Damage caused by improper packaging or preparation
  • Losses due to customs seizures or regulatory actions
  • Damage to perishable goods without proper temperature control
7.3 Insurance Recommendations

We strongly recommend that customers obtain comprehensive cargo insurance covering:

  • Full replacement value of goods
  • Transit risks and handling damage
  • Customs and regulatory risks
  • Business interruption and consequential losses

8. Payment Terms and Conditions

Clear payment terms ensure smooth business operations and service delivery.

8.1 Payment Methods

Apex Freight HUB accepts the following payment methods:

  • Bank transfers (SWIFT/SEPA)
  • Credit cards (Visa, MasterCard, American Express)
  • Digital payment platforms (PayPal, Stripe)
  • Corporate accounts with approved credit terms
8.2 Payment Terms

Standard payment terms are as follows:

  • New customers: Payment in advance or upon shipment release
  • Established customers: Net 30 days from invoice date
  • Express services: Payment required before service provision
  • Large volume customers: Custom payment terms by agreement
8.3 Late Payment Consequences

Late payments may result in:

  • Interest charges of 1.5% per month on overdue amounts
  • Suspension of services until payment is received
  • Collection costs and legal fees
  • Requirement for advance payment on future shipments

9. Claims and Dispute Resolution

Apex Freight HUB maintains a fair and transparent claims process to address any issues that may arise during service delivery.

9.1 Claims Procedure

To file a claim, customers must:

  • Notify Apex Freight HUB within 24 hours of discovering damage or loss
  • Submit written claim within 14 days of delivery or expected delivery date
  • Provide detailed documentation including photos, invoices, and packing lists
  • Preserve damaged goods for inspection if required
  • Cooperate with our investigation process
9.2 Dispute Resolution

In the event of disputes, the following resolution process applies:

  • Direct negotiation between parties
  • Mediation through independent third party
  • Arbitration under ICC rules if mediation fails
  • Legal proceedings in courts of competent jurisdiction

10. Data Protection and Privacy

Apex Freight HUB is committed to protecting customer data and maintaining privacy in accordance with applicable data protection laws.

10.1 Data Collection and Use

We collect and process customer data for the following purposes:

  • Service provision and shipment tracking
  • Customs clearance and regulatory compliance
  • Customer support and communication
  • Billing and payment processing
  • Service improvement and analytics
10.2 Data Security

We implement appropriate security measures including:

  • Encryption of sensitive data in transit and at rest
  • Access controls and authentication systems
  • Regular security audits and updates
  • Employee training on data protection

11. Termination and Suspension

Apex Freight HUB reserves the right to terminate or suspend services under certain circumstances to protect our operations and other customers.

11.1 Termination by Customer

Customers may terminate services by providing written notice, subject to:

  • 30 days written notice for standard services
  • Completion of all outstanding shipments
  • Settlement of all outstanding payments
  • Return of any company property or materials
11.2 Termination by Apex Freight HUB

We may terminate services immediately for:

  • Breach of these Terms and Conditions
  • Non-payment of outstanding invoices
  • Attempted shipment of prohibited items
  • Fraudulent or illegal activities
  • Threats to safety or security

12. Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of Germany, with specific provisions for our operations in Poland and Lithuania.

12.1 Applicable Law

The following legal framework applies:

  • Primary jurisdiction: German law for general terms
  • EU regulations for international shipments
  • Local laws for country-specific operations
  • International conventions (Warsaw Convention, Hague-Visby Rules)
12.2 Dispute Resolution Forum

Disputes shall be resolved in the following order:

  • Primary: Courts of competent jurisdiction in Germany
  • Alternative: Arbitration under ICC rules
  • Special: Local courts for country-specific issues
